How long do I have to reinstate my Virginia LLC?
Five years from the date of cancellation, under Va. Code § 13.1-1050.4. After that window closes, reinstatement is permanently unavailable and the original name may no longer be protected — you'd need to form a new LLC.
What does reinstatement actually do?
Once the state enters an order of reinstatement, your LLC's existence is deemed to have continued from the date of cancellation. The gap is legally closed: contracts entered during the cancellation period are validated, your liability shield is restored, and your name protection returns.
Why does the cost go up each year?
Virginia charges a $50 back annual registration fee plus a $25 late penalty for every year your LLC was cancelled. The $349 today price assumes one year of back fees. At year five, that math adds roughly $300 in additional state charges.
Can I file the reinstatement myself?
